Welcome to Sylzo! These Terms of Service ("Terms") govern the relationship between Sylzo ("Sylzo", "we", "our", "us") and the individual or entity ("User", "you", "your") using our services, website, applications, and platform available at sylzo.com, Discord servers, or other means (collectively, the "Services"). By using our Services, you agree to these Terms, which include important details about intellectual property rights, user content, and dispute resolution.

Please carefully read these Terms, our Privacy Policy, and any additional guidelines or rules provided by Sylzo (collectively referred to as the "Agreement"). Continued use of our Services constitutes your acceptance of these Terms. If you do not agree to these Terms, please stop using the Services.

1. Service Availability and Changes

We continuously work to improve and update our Services. These Services may be modified at any time, including but not limited to changes in features, design, or functionality. We do not guarantee the quality, reliability, or uptime of the Services. You are responsible for any reliance on the Services, and Sylzo will not be liable for any losses incurred from such reliance.

Our Services are provided on an "AS IS" basis, without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We reserve the right to suspend or terminate your access to the Services at any time, for any reason, including but not limited to violations of these Terms.

You agree not to reverse engineer, distribute, resell, or use the Services for developing competing products. Only one user may access an account, and the use of automated tools or bots to interact with the Services is prohibited.

2. Age Requirements

You must be at least 13 years old to use Sylzo's Services. If you are below the age of majority in your jurisdiction, your parent or legal guardian must consent to these Terms on your behalf. If you are a parent or guardian permitting your child to use our Services, you agree to be responsible for their actions.

3. Your Information

When using the Services, you may provide us with personal information such as your email address, username, billing details, content you upload (such as projects, prompts, images), and more. Our use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms.

4. Content Rights and Ownership

Your Content

You retain ownership of any content you create or submit using our Services ("Content"). This includes projects, designs, prompts, images, and other materials. However, your use of our platform grants Sylzo a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, display, and modify the Content for promotional, marketing, and operational purposes.

If your project is created by using Sylzo’s AI tools or through collaborative community work, you agree that Sylzo has the rights to promote, display, and use those materials across our platform, social media, and promotional channels.

By submitting Content, you warrant that you hold the necessary rights and permissions to use and distribute the Content and that it does not infringe on the rights of any third party.

Sylzo's Rights

All rights, title, and interest in and to the Services and any Sylzo-provided assets, AI tools, templates, or resources remain the exclusive property of Sylzo. You may not use, distribute, or resell these materials unless explicitly authorized in writing.

5. Licensing and User Submissions

When you use our platform and submit any Content, including text, images, or code, you grant Sylzo a non-exclusive, worldwide, royalty-free license to reproduce, distribute, and use the content as part of the Services or marketing. This license persists even if you stop using our platform. We reserve the right to modify, translate, or format any submission to better serve our community.

6. Collaborative Work and Contributions

Projects developed through collaborative efforts using Sylzo's Services may involve contributions from multiple users. If you participate in such projects, you acknowledge that Sylzo retains rights to the collective output, and that individual contributions may be subject to further licensing or modification to serve the collaborative nature of the platform.

Contributions made by users to community-driven projects or resources may be integrated into Sylzo’s public Resource Library or other assets, which are freely accessible to the Sylzo community.

7. Crowdfunding, Marketplace, and Paid Features

While most core features of Sylzo are free, there are optional paid features that users can purchase. These may include AI tools, project promotion options, and more. Sylzo also facilitates crowdfunding for community projects, and we may take a percentage of any funds raised.

Any funded projects or community-driven efforts developed through Sylzo's crowdfunding platform grant Sylzo the right to promote and manage the project as part of the broader community.

8. Payments, Billing, and Refunds

Payments for paid services, subscriptions, and transactions on the platform are processed through third-party payment providers. These providers have their own terms of service, which govern the payment process.

You may cancel paid services at any time, but no refunds will be provided for the remaining period of the subscription term unless explicitly required by law. Sylzo reserves the right to terminate your access to paid features for any violation of these Terms or inappropriate use of the Service.

9. Community Guidelines and User Conduct

Be kind, be respectful, and don’t be a jerk—that’s our first rule. Sylzo is a community where collaboration and creativity thrive, so we expect users to engage respectfully with one another.

• Do not use Sylzo to create, promote, or distribute illegal, hateful, violent, or offensive content.

• You may not use our Services to infringe upon the intellectual property rights of others.

• Harassment, discrimination, or abusive behavior will not be tolerated. Violations may result in a ban or termination of your account.

10. Limitation of Liability and Indemnification

We strive to make Sylzo a great platform, but we make no guarantees about the accuracy, reliability, or availability of the Services. Sylzo and its affiliates are not liable for any direct, indirect, or consequential damages that arise from using the platform, including but not limited to loss of profits, loss of data, or business interruption.

To the maximum extent permitted by law, you agree to indemnify and hold Sylzo harmless from any claims, damages, liabilities, or expenses (including legal fees) arising out of your use of the Services or your violation of these Terms.

11. Dispute Resolution and Governing Law

Any disputes arising out of or in connection with these Terms will be exclusively governed by the laws of Ontario, Canada. In the event of a dispute, you agree to first seek to resolve it amicably by contacting Sylzo. If we cannot resolve the dispute within 30 days, the dispute shall be submitted to binding arbitration in Ontario.

You agree to waive any rights to a jury trial or to participate in any class-action lawsuit. The arbitrator’s decision will be final and binding.

12. Termination and Account Suspension

Sylzo reserves the right to suspend or terminate your account at any time, without notice, if you violate these Terms. We are not liable for any damages or losses you may suffer as a result of such termination.

13. Miscellaneous Provisions

• Force Majeure: Neither party will be liable for any delay or failure in performance due to circumstances beyond their reasonable control, such as natural disasters, war, or government actions.

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

• No Waiver: The failure of Sylzo to enforce any provision of these Terms will not constitute a waiver of that provision.

• Entire Agreement: These Terms, along with the Privacy Policy and any other guidelines or agreements referenced herein, constitute the entire agreement between you and Sylzo regarding your use of the Services.
